Paralegal
Position Summary :
We are seeking a detail-oriented and experienced In-House Paralegal to join our private, family-owned agricultural company with global operations based in Yuma, AZ. This position will provide direct support to the General Counsel and the company's legal department in managing commercial legal matters. The ideal candidate will have strong analytical skills, excellent written and verbal communication abilities, and experience supporting in-house corporate legal functions including commercial agreements and transactions, corporate governance matters, and document management.
Role Responsibilities :
- Researches commercial and other legal questions
- prepares legal recommendations and memoranda
- prepares and proofs legal documents such as contracts, corporate resolutions, and regulatory filings for use by attorneys
- summarizes contract terms, due diligence materials, and transaction documents to assist attorneys with deal management
- participates with attorneys in transaction preparation and closing coordination
- coordinates and monitors assigned legal projects
- manages contract execution and delivery processes
- coordinates activities with external counsel, vendors, and business units
- prepares and assembles due diligence requests and responses
- maintains, tracks, and updates corporate legal information and contract databases
- acts as liaison for General Counsel to business units, external counsel, regulatory agencies, and vendors
- provides a wide range of corporate legal support and administrative duties.
Education :
Paralegal Certification and / or Associate's Degree in Paralegal Studies or closely related field preferredTwo (2) years of corporate or commercial legal office experience OR an equivalent combination of education and experience preferred.Experience / Skills / Abilities :
Knowledge of : legal research techniques, legal terminology, and corporate governance practicesContract drafting and review principlesDocument retention and records managementPersonal computers utilizing a variety of software applications includingMicrosoft Office and contract management systems.Skill in : Researching, analyzing, and interpreting laws, regulations, and contractual provisionsEstablishing and maintaining cooperative working relationships with business stakeholders, external counsel, and vendorsDrafting and completing accurate contracts, corporate documents, and business correspondenceFollowing and effectively communicating verbal and written instructionsAssessing and prioritizing multiple transactions, projects and business demands.Ability to : Analyze, understand, interpret and manage legal projects effectivelyCommunicate effectively with internal and external stakeholdersRead, write, research and produce legal and business dataUse modern office equipment, legal databases, and contract management systemsMaintain confidentiality of sensitive business and legal informationWork independently with minimal supervision while supporting complex corporate legal matters.Job Expectations / Working Conditions :
