Direct Counsel is representing an Am Law 100 firm seeking an Associate for its Corporate Practice in Las Vegas.

Position : Corporate Associate

Location : Las Vegas, NV (Hybrid)

Compensation : $215,000 – $245,000 annually, based on experience, plus discretionary bonus and full benefits package

Position Summary :

This is an excellent opportunity for a mid-level Corporate Associate (3–6 years) to join a top-tier Corporate Practice in Las Vegas. The role offers the chance to advise clients ranging from startups to multinational corporations on complex corporate transactions, with a focus on public and private M&A, venture capital, and angel investments. Attorneys in this practice gain meaningful responsibility, manage sophisticated matters, and work closely with clients across diverse industries.

Key Responsibilities :

Advise clients on mergers and acquisitions, venture capital investments, and private equity transactions.

Draft, review, and negotiate acquisition agreements and related corporate transaction documents.

Provide strategic legal and business advice on complex corporate matters.

Collaborate with colleagues in tax, regulatory, and finance to address transaction-related issues.

Manage a busy workload in a fast-paced, team-oriented environment while serving as a trusted client contact.

Qualifications :

Juris Doctor (J.D.) from an ABA-accredited law school.

3–6 years of significant experience in corporate transactions, including M&A, venture capital, and private equity.

Strong working knowledge of acquisition agreements and related documentation, with demonstrated drafting proficiency.

Admission to the Nevada Bar required.

Excellent academic credentials and superior writing, negotiation, and analytical skills.

Strong interpersonal skills, maturity, and the ability to manage high-level responsibility effectively.

Compensation & Benefits :

Annual salary range : $215,000 – $245,000 (commensurate with experience).

Eligible for discretionary bonus.
