Mini Due Diligence Project Toy Company Acquisition

Project Overview
Group 206 is a family office that is evaluating the acquisition of a toy company whose financial books and records are incomplete inconsistent and poorly maintained. This engagement is a true nuts-and-bolts due diligence project a hands-on review designed to determine the accuracy of the financials identify what has been reconciled and what has not and assess the reliability and completeness of all accounting information.
This work requires a Controller-level resource with the ability to review from a high level while also diving into the detailed accounting records. The selected professional will partner closely with the CFOboth onsite and remotelyto clean up financial data validate results and provide a clear picture of the companys real financial condition and accounting needs.
Objectives
- Assess the companys current financial condition using both available and missing records.
- Determine which accounts have been reconciled and identify gaps risks and outstanding issues.
- Evaluate accounting processes controls documentation practices and missing components.
- Organize and reconstruct financial statements to understand true performance trends.
- Recommend the appropriate accounting support structure post-acquisition.
Scope of Work
On-Site Financial Review (First 2 Weeks)
Two weeks of on-site work in New York.Direct one-on-one work with the companys CFO to access systems data and documentation.Review accounting processes and reporting within SAP.Evaluate the general ledger structure month-end close practices and supporting schedules.Books & Records Assessment and Cleanup
Review all major balance sheet and P&L accounts.Identify unreconciled accounts and determine underlying causes.Perform historical monthly reconciliations (1224 months) focusing on high-level accuracy or investigating large variances.Document findings risks gaps and required corrective actions.Financial Evaluation
Clean up or rebuild financial statements to ensure accuracy.Identify key financial trends based on cleaned and reconciled financials.Highlight inconsistencies missing items or red flags.Provide clarity on the companys overall financial health and cash flow position.Future-State Recommendations
Recommend the level of accounting support required post-acquisition (hands-on Controller or strong Accounting Manager).Outline needed improvements to accounting processes controls documentation and SAP reporting.Advise on what is required to maintain accurate and reliable ongoing financials.Ad Hoc Support
Support additional requests from ownership and senior leadership including financial analysis schedules and data validation.Candidate Requirements
Controller-level experience; CPA strongly recommended.Strong technical accounting and reconciliation expertise.Audit experience is a strong plus.SAP experience preferred.CPG or toy industry familiarity helpful but not required.Ability to travel for two weeks onsite in New York; remote work thereafter.High energy detail-oriented and proactive approach.Comfortable working directly with Group 206 ownership and the target companys CFO.Timing
