Corporate Associate

Raines Feldman Littrell LLP is fast growing and dynamic national law firm, with opportunities to work on a variety of transactions for clients in diverse industries. Our corporate practice group focuses on complex transactions involving mergers and acquisitions, private equity, venture capital, finance, fund formations and corporate governance. The firm is comprised of a team of highly experienced transactional and litigation attorneys from some of the nation's most elite law firms. We are looking for candidates who can and are looking to assume immediate responsibility and who are willing to work as an integral part of a high performing and collaborative team.

Job Summary

We are seeking a corporate associate with 3–5 years of experience handling a range of transactional matters. Ideal candidates will have experience advising emerging companies, managing M&A transactions, drafting and negotiating key deal documents, and handling corporate governance and compliance matters. Experience acting as lead associate on deals and managing transactions from inception to close is strongly preferred.

Key Responsibilities :

• Support complex transactions, including M&A, equity and debt financings, fund formations, and joint ventures
• Draft, review, and negotiate a wide range of agreements and deal documents
• Advise clients on entity formation, corporate governance, and compliance
• Manage transaction workflows and coordinate across internal and external teams
• Develop and maintain strong client relationships

Requirements :

The salary range for this position is $180,000-$225,000. Pay is determined based on depth of experience in the practice area. Associates are eligible to participate in the associate bonus program, subject to the program's conditions and restrictions.
