Transactional Associate – Environmental

Location : Philadelphia, PA (Hybrid)

Time Type : Full-Time

Direct Counsel is representing an AmLaw 100 firm in the search for a Transactional Associate with 1–3 years of experience to join its Environmental Risk Management Team in Philadelphia. This is an excellent opportunity to work on high-profile, transaction-focused environmental matters in a collaborative, client-facing practice.

Key Responsibilities :

Perform environmental due diligence for real estate and M&A transactions, including brownfields development projects.

Structure solutions to environmental risks through remedial strategies, specialty insurance programs, and negotiated contracts and agreements.

Draft and review transactional documents, including purchase agreements, loan agreements, liability transfer agreements, and ancillary documents .

Collaborate closely with clients and internal teams, providing transaction-driven legal solutions .

Engage in deal negotiation and drafting , with significant client interaction throughout the transaction lifecycle.

Qualifications :

1–3 years of experience in corporate M&A, real estate, or transactional environmental law at a large or boutique law firm; recent graduates will also be considered.

Strong analytical, drafting, and negotiation skills.

Ability to manage multiple priorities in a fast-paced, deal-driven environment.

Excellent interpersonal skills for client-facing work and collaborative team projects.

Environmental law experience is a plus but not required.
