The team works closely with clients at every stage of their journey, helping them navigate challenges, avoid financial pitfalls, and implement practical solutions before, during, and after major transformational projects or transactions creating lasting impact. IT Diligence is part of Deloitte's M&A Offering, within our broader Strategy & Transactions practice. Our IT and Product Technology (prod tech) Diligence Specialists focus on delivering successful, informed business decisions by identifying the key IT and product tech / software risks and opportunities associated with the most challenging M&A transactions.

Work You'll Do

As a prod tech diligence Manager, you will lead and deliver complex client engagements that help refine the client's product and software strategy with a focus on inorganic growth by conducting proprietary technology operational diligence for clients as they assess acquisitions and divestitures. You will also have the ability to use your existing transferable skills across other core IT domains. A prod tech diligence Manager is a self-starter who is comfortable in an energetic and dynamic "roll-up-your-sleeves" culture. Manager level responsibilities include but are not limited to :

• Partner with senior executives to define how they employ M&A - in alignment with their corporate strategy - to drive profitable growth and enable them to compete effectively in their industry
• Facilitate M&A product tech / software diligence discussions with clients and target companies across industries with a focus on identifying risks and value creation opportunities across the IT organization, processes, applications (custom-developed and off-the-shelf), infrastructure, cloud technology, and cyber-security; and demonstrate a keen understanding of how technology enables business strategy and operational capabilities
• Present a coherent perspective in verbal, written and analytical formats, as part of a broader M&A diligence effort
• Demonstrate a keen understanding of IT / tech costs and financials and able to quickly conduct cost transformation and cost estimation analysis through a combination of 3rd party benchmark and proprietary data and tools
• Serve as the primary day-to-day contact for client executives; as well as being a resource in the event candidate is not familiar with certain subject matter areas that arise during diligence activities
• Identify and collaborate with appropriate subject matter advisors to best serve clients with excellence
• Frame issues and develop high level approaches to resolve the same
• Manage day-to-day interactions with executive clients and sponsors; develop and maintain contact with top decision makers at key clients
• Participate in aspects of the proposal development process, contributing to the development of proposal pricing strategies; as well as identifying and developing add-on sales opportunities
• Provide leadership and support for delivery teams and staff in local offices across recruitment, coaching, etc.
• Improve internal processes, and promote knowledge sharing in the team, by contributing to the community of practice, blogs, and other forms of market eminence
• Perform role of counselor and coach; actively participate in staff recruitment and retention activities; provide leadership and support for delivery teams and staff in local offices

The Team

Our M&A team offers expert guidance to corporate and private equity clients in navigating complex growth and divestiture scenarios. Our services encompass M&A strategy and transaction diligence, integration and separation planning and execution, as well as transaction financing. Within M&A strategy and transaction diligence, our IT and product tech diligence specialists focus on the value creation potential of each transaction and its inherent operational risks. The Deloitte IT diligence practice executes across several services through evaluating technology systems and operations of companies, identifying potential risks, and helping ensure IT is a successful enabler for an M&A transaction. Each service has a focus across an organization's people, process, applications and infrastructure, and incorporates unique industry considerations. Product tech diligence helps our clients by reviewing proprietary technology products, cyber security, initial carve out / standup requirements and initial integration / separation planning requirements. This is done through an integrated platform which more clearly checks the alignment of the deal macros with our clients' investment theses, focuses on the foundational maturity of the target company, brings more value creation concepts to the diligence effort, and applies a metrics-driven perspective.

The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Deloitte, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $ 144,200 to $265,600. You may also be eligible to participate in a discretionary annual incentive program, subject to the rules governing the program, whereby an award, if any, depends on various factors, including, without limitation, individual and organizational performance.
