Position Summary : As the Paralegal you will be responsible for supporting Legal and Accounting teams in the administration, auditing, and lifecycle tracking of employee equity. This position plays a critical role in ensuring accurate documentation, compliance with corporate policies, and alignment with SEC, IRS, and internal governance requirements.

Key Responsibilities :

  • Track, audit, and maintain a centralized database of employee equity agreements, including RSUs, stock option grants, ESPP participation, and vesting schedules.
  • Administer and manage the full lifecycle of equity compensation plans, including the preparation, review, and execution of grant agreements, exercise documents, and award modifications.
  • Draft, review, and maintain standard templates related to equity programs and ensure documentation aligns with plan terms, board approvals, and internal policies.
  • Partner with Legal, HR, Finance, Payroll, and Equity Administration teams to ensure compliance with equity plan rules, tax and securities regulations, and internal governance.
  • Maintain compliance with blackout periods.
  • Maintain corporate books and equity records in accordance with retention policies
  • Assist in preparing and filing securities-related documentation and disclosures, including Forms 3, 4, and 144, in coordination with internal stakeholders and outside counsel.
  • Conduct periodic audits and reconciliations of equity records to ensure accuracy between equity platforms (e.g., Shareworks, Carta, E
  • TRADE) and legal documentation.
  • Track vesting milestones, grant approvals, and reporting deadlines related to equity awards; maintain detailed records and ensure timely processing.
  • Support due diligence efforts and provide documentation for internal audits.
  • Support 10-K, 10-Q, 8-K, and Section 16 filings.
  • Maintain accurate and secure records of all executed equity agreements in the company's contract management or legal records system.
  • Provide general paralegal support including document preparation, contract management, legal research, and assistance with corporate governance filings and record keeping.
  • Qualifications :

  • Associate or bachelor's degree in legal studies, Business Administration, or related field preferred.
  • Certified Paralegal (CP) or Registered Paralegal (RP) designation.
  • 3+ years of experience as a paralegal in a corporate legal department or law firm, with at least 1 year of experience supporting equity or securities matters.
  • 2 of the 3+ years of experience must be hands-on experience with equity compensation plans, including RSUs, stock options, and ESPPs.
  • Experience with equity tracking platforms (e.g., Shareworks, Carta, E
  • TRADE), insider trading policies, and SEC compliance.
  • Working knowledge of SEC regulations, Section 16, Sarbanes-Oxley (SOX), and insider trading policies.
  • Understanding of corporate equity plan rules , board resolutions, and approval processes.
  • Exceptional attention to detail, strong organizational skills, and the ability to manage multiple projects simultaneously.
  • High level of discretion and judgment in handling confidential information.
  • Must be able to work independently in a fast-paced, deadline-driven environment.
  • Required Certifications :

  • Certified Equity Professional (CEP) – Level I or higher preferred
  • Communication : Clear verbal and written communication to document incidents and ensure proper shift handoffs.
  • Collaboration : Ability to work closely with team members, supervisors, and cross-functional partners.
  • Adaptability : Flexible in responding to changes in process, tools, environment, and shift assignments.
  • Accountability : Takes ownership of assigned tasks and follows through with minimal supervision.
  • Attention to Detail : Maintains thorough and accurate logs, inspections, records, and documentation.
  • Time Management : Manages time effectively to meet performance expectations and service levels.
  • Integrity : Adheres to company policies, safety protocols, and professional ethics at all times.
  • Continuous Improvement Mindset : Recommends and supports efficiency, safety, and system innovations.
  • Documentation Discipline : Maintains clear, consistent records for operational continuity and compliance.
  • Security Compliance : Maintains awareness of data center physical and logical security expectations.
  • Digital Literacy : Uses productivity tools (e.g., Outlook, Teams, Excel, ticketing systems) for communication and documentation in office or hybrid settings.
  • Physical Requirements :

    Able to remain seated for an extended period and lift and carry up to 15 lbs. (office manuals, case notebooks, case files, case materials, standard boxes, report binders, etc.) as needed.

    Working conditions based on position / location :

    Remote : The Company agrees that the Employee may work from home provided the employee is in good standing, has a continuously secured internet connection and necessary equipment, and is accessible by MS Teams, phone, fax, and email during business hours. (See Telework policy.)

    Office environment : Business office hours and work hours necessary to satisfactorily perform job functions. Some overtime may be required to accomplish work demands in a timely manner (overtime hours worked are paid at a one-and-a-half regular rate of pay) and to satisfy our firm's commitment to the professional development of personnel.

    Site Location – we are a 24-hour facility, and work hours (shifts) are assigned as necessary to perform job functions satisfactorily, ensure compliance, and ensure the efficient functioning of the company. Some positions (see your offer letter) require work at irregular hours, e.g., nights and weekends, overtime, alternating shifts, and working conditions, including working outside, during challenging weather conditions (heat / cold), or in hazardous environments. The work sites are loud. Some overtime may be required to accomplish work demands in a timely manner (overtime hours worked are paid to nonexempt employees at one and a half times their hourly pay rate).
