Interim Assistant General Counsel

Job Description

Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for an Interim Assistant General Counsel.

Overview : Our client seeks a skilled commercial attorney to assist with the filing of its proxy statement and the provision of commercial advice to its business units.

Company : Our client is a publicly traded manufacturing organization headquartered in Stamford, Connecticut.

Experience : Six or more years providing securities and commercial advice to large, industrial clients.

Location : Hybrid. The candidate will need to report to the Client’s Stamford, Connecticut headquarters once every two weeks or so.

Responsibilities Include :

• Drafting of the company’s annual proxy statement.
• Collaborating with the Client’s outside Counsel to draft and file the Client’s 10-K and Form-4.
• Provide commercial advice to the business units on commercial agreements, including non-disclosure agreements and other commercial agreements, including commercial sales contracts, confidentiality agreements, commercial real estate agreements, license agreements and employment-related agreements. Assist with the negotiation and drafting of same.
