Our Deloitte Strategy & Transactions team helps guide clients through their most critical moments and transformational initiatives. We offer comprehensive end-to-end support and advisory services, covering areas such as valuation modeling, cost optimization, restructuring, business design and transformation, infrastructure and real estate, mergers and acquisitions (M&A), and sustainability. Work You’ll Do

Our Senior Consultants serve as trusted advisors to their clients in both the corporate and private equity space. M&A Human Capital (HC) Due Diligence (DD) Senior Consultants deliver client engagements that identify, design, and implement M&A services, with a focus on Organization Transformation and HR Strategy & Excellence. They play a critical role in assessing the workforce-related aspects of mergers, acquisitions, or other significant business transactions. Responsibilities include but are not limited to performing HC DD (some or all of compensation, benefits, HR compliance, labor relations, HR communications, operations and technology, talent and culture) by identifying and quantifying transaction risks and opportunities. This is done with a key focus on both traditional financial and compliance risks associated with compensation and benefit programs and also the deal risks associated with HR operations and technology, organizational culture, and broad labor and talent. M&A HC DD Senior Consultants have demonstrated knowledge of HR functions & processes, with experience in one or more of the following areas: HR Strategy, HR Employee Experience, HR Operating Models, HR M&A, HR Outsourcing Advisory, and HR Technology. Senior Consultants collaborate across internal and external stakeholders, including other Deloitte diligence workstreams, legal counsel, investment banks, and Client’s HR leadership.

The Team

Our M&A team offers expert guidance to corporate and private equity clients in navigating complex growth and divestiture scenarios. Our services encompass M&A strategy and transaction diligence, integration and separation planning and execution, as well as transaction financing.

Qualifications:

Required:

• Experience supporting and/or delivering at least 5 Human Capital M&A projects, including restructuring, enterprise cost reduction, due diligence, assessment of transaction risks, target screening and integration planning and execution
• 4+ years of experience performing Human Capital due diligence (some or all of compensation, benefits, HR compliance, labor relations, HR communications, operations and technology, talent and culture) and post-deal integration / separation activities by identifying and quantifying transaction risks and opportunities. This includes:Review of financial statements, trial balance details, government filings, employee census data, employment agreements, CBAs, and employee benefits and compensation documentationPreparation of data request lists and call agendas to facilitate diligenceFacilitation of interviews with Target management teamCompletion of analysis including compensation benchmarking, individual equity proceeds (waterfall analysis or fully diluted share count), employee benefits side-by-side and migration cost analysis, executive compensation review including retention, severance, and transaction bonuses, turnover and open positionsReview and analyze HR function stand-alone structure and costs for carve-out situationsContribute material employee-related findings to the Quality of Earnings and Debt-Like analysisPrepare and deliver report findings
• 4+ years of experience in a consulting and/or industry role focused on employee related matters including financial due diligence, compensation and benefit program design, retirement or health care consulting, HR strategy or operations, and /or talent solutions
• Bachelor’s degree and 4+ years consulting and/or industry experience; alternatively an MBA with 2+ year relevant work experience including change management initiatives, communications development, organizational design and development, HR strategy or operations, and /or talent solutions
• Limited immigration sponsorship may be available
• Ability to travel up to 50%, on average, based on the work you do and the clients and industries/sectors you serve

Preferred:

• MBA or graduate degree in HR or Organizational Behavior
• 4+ years of experience with Human Capital Mergers and Acquisitions, restructuring and/or enterprise cost reduction, including a background in due diligence, assessment of transaction risks, target screening, integration planning and execution, and/or post-merger integration
• Experience in HR, Consulting, and/or Corporate Communications
• Experience supporting workshops, large meetings, or presentations to senior leaders
• Ability to execute a project plan, managing to deadlines and paying acute attention to detail
• Demonstrated strong business acumen and ability to work effectively across teams, levels and varying cultures
• Strong oral and written communication skills, including presentation skills (MS PowerPoint), data analysis (MS Excel, Tableau, or SQL) and report writing
• Strong problem-solving skills with the ability to exercise mature judgment

The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Deloitte, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $118,700 to $218,600.

You may also be eligible to participate in a discretionary annual incentive program, subject to the rules governing the program, whereby an award, if any, depends on various factors, including, without limitation, individual and organizational performance.
