Reporting to the Senior Vice President and General Counsel, the Commercial Counsel will provide top-notch service and innovative support to various departments within the Firm, including but not limited to business development (National Markets & Sales), finance, and talent management efforts. This position offers a unique opportunity for an energized, self-starter with critical thinking abilities to grow with our business and solidify the necessary systems and solutions for continued success.
Responsibilities
- Support National Markets & Sales Team (NMST) in drafting contracts and negotiations.
- Prepare and manage documents such as MSA, PO / SOW, and Engagement Letters.
- Support National Events and other operational areas with vendor contracts and related materials.
- Become well-versed in related technology to support contract creation, including Contract Lifecycle Management tools.
- Serve as key contact point and source of guidance for contract advice and management : maintain a current in-depth knowledge of contract law.
- Draft and / or review client contracts (e.g., Master Services Agreements, Project Orders / Statements of Work, Engagement Letters) and vendor contracts (e.g., event contracts, technology licenses, leases, etc.), and identify and recommend solutions for issues with potential exposure to the Firm.
- Participate in client or vendor contract negotiation.
- Proactively identify and recommend remediation for areas that present legal risk to the Firm.
- Provide critical direction regarding governance, administration and compliance objectives; research and provide guidance on a wide variety of compliance matters arising in connection with the Firm’s evolving business.
- Advise regarding entity governance matters; maintain knowledge of applicable business and professional licensing laws and regulations; support privacy compliance Firmwide.
- Awareness of immigration law compliance and organization : work with outside counsel and colleagues to support immigration compliance and reporting on immigration activity among employees, if requested.
- Perform other duties as assigned, including legal advice and support in employment law.
Supervisory Responsibility
This position has no direct supervisory responsibilities but will engage in mentoring and coaching others including Legal Assistant(s).
Required Qualifications
2-5 years of relevant professional experience in a law firm or in-house or a combination thereof.Admitted in good standing to a State Bar.Juris Doctor degree.Self-starter with a proven ability to take ownership of and prioritize workload and perform multiple tasks under pressure.Experience with or proficiency in CLM technology.Advanced proficiency in Word and other core business applications (Workday a plus).Team player with excellent oral and written communication skills.Ability to work 9-10 hours per day (or an average of 48-50 hours per week) consistently; availability to work nights and weekends as needed.Ability to travel up to 10% of time, including multi-day, overnight travel to domestic locations.Creativity, attention to detail, and passion for organization.Excellent communication skills; confidence to push beyond comfort zones.Thrives in a fast-paced, growth-oriented environment with a high-energy level; ability to build professional relationships quickly.Strong work ethic, integrity, and ability to handle sensitive and confidential matters.Flexibility, curiosity, and openness to work on a variety of tasks; ability to make an immediate impact and provide value-added service to the Firm.Team player with a strong desire to participate in overall firm growth; strong mental agility and ability to change direction as needed.Ability to work independently and demonstrate strong problem-solving and analytical skills; data management and governance skills; entrepreneurial spirit aligned with the Firm’s vision.Willingness to work in a Siegfried office as required for an average of four days per week (subject to policy).Compensation and Employment Status
