We are looking for a skilled Attorney / Lawyer to join our team on a contract basis in Chicago, Illinois. This position involves providing legal expertise in corporate governance, entity management, mergers and acquisitions, and dissolutions. You will play a key role in advising on strategic decisions concerning corporate entities and collaborating with tax and finance teams to ensure compliance and optimal outcomes.
Responsibilities :
- Advise on the legal aspects of merging or dissolving corporate entities, ensuring all actions are compliant with regulations.
- Collaborate with tax and finance teams to align legal processes with financial and tax considerations.
- Provide strategic guidance on corporate governance and entity management.
- Facilitate mergers and acquisitions by preparing and reviewing legal documentation.
- Oversee the dissolution of entities, ensuring all necessary legal steps are completed efficiently.
- Conduct in-depth research to identify the best legal course of action for corporate restructuring.
- Draft and revise contracts, agreements, and other legal documents related to corporate transitions.
- Ensure compliance with relevant laws and regulations in all corporate governance activities.
- Act as a liaison between internal departments and external stakeholders during legal processes.
The pay range for this position is $85.50 to $99. Benefits available to contract / contract professionals, include medical, vision, dental, and life and disability insurance. Proven experience in corporate governance and entity management.Strong knowledge of mergers and acquisitions processes.Expertise in entity dissolution procedures.Familiarity with legal tax considerations and their application in corporate restructuring.Ability to collaborate effectively with finance and tax teams.Excellent analytical and problem-solving skills.Strong communication skills for liaising with stakeholders and drafting legal documents.Juris Doctor (JD) degree and active bar membership in relevant jurisdiction.
