The Corporate Counsel will work closely with the General Counsel to provide comprehensive legal support across the organization. Acting as a trusted advisor to business teams and key stakeholders, this role will help navigate complex and evolving legal issues while delivering practical, business-focused legal solutions.

Key Responsibilities
- Draft, review, and negotiate a variety of commercial contracts, including client and vendor agreements.
- Support internal licensing processes for liquor and tobacco across multiple jurisdictions—partnering with local agencies and outside counsel to ensure compliance and timely renewals.
- Assist the General Counsel in managing pre-litigation and litigation matters, including coordination with outside counsel, case strategy, budgeting, and resolution.
- Provide support on corporate governance activities, including drafting and maintaining internal corporate documents.
- Build strong, collaborative relationships with senior leadership, business units, and the broader legal team to advise on a wide range of legal issues.
- Monitor legal and regulatory developments relevant to the business and proactively identify potential risks and opportunities.
- Partner with the General Counsel on legal, compliance, and regulatory matters to align legal strategies with business objectives.
Qualifications
Juris Doctor (JD) from an ABA-accredited law school.Active member in good standing of any U.S. state bar.Minimum of 3 years of experience in a law firm and / or in-house counsel role with exposure to operational and commercial transactional work (in-house experience strongly preferred).Strong analytical and communication skills with the ability to translate complex legal concepts into actionable business advice.Proven ability to manage multiple priorities, make sound decisions under pressure, and work independently.Litigation or litigation management experience preferred (federal / state court, arbitration, or agency proceedings).Proficient in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).Willingness to travel up to 5%.
