Direct Counsel has partnered with an AmLaw 200 firm seeking a Corporate Associate with 4+ years of experience to join its Corporate / Non-Profit Business Unit in Detroit, MI.

The ideal candidate will have prior experience advising tax-exempt entities and nonprofit organizations and will support clients throughout the full life cycle of a nonprofit.

Key Responsibilities

Advise on board governance matters

Conduct legal entity formation analysis & filings

Draft templates and prepare IRS exemption applications

Provide guidance on unrelated business taxable income (UBTI)

Draft and negotiate contracts

Perform state and federal tax-specific research

(Preferred, not required) Advise on charitable giving and planned giving

Qualifications

Minimum 4 years of corporate law experience , with a focus on nonprofits / tax-exempt entities

Licensed to practice law in Michigan

Strong academic credentials

Excellent interpersonal, verbal, and written communication skills

Detail-oriented with a strong work ethic

Client-facing experience and responsiveness to client needs

Compensation & Benefits

Salary range : $150,000 – $190,000 annually (based on full-time schedule, experience, and qualifications)

Bonus : Eligible for annual discretionary bonus
