Job Summary
The Equity Administrator will oversee the administration of and serve as the operational owner of the Company's various equity programs. This role will be responsible for the day-to-day administration, process integrity, adherence to compliance, and support across our equity lifecycle. This role requires deep technical knowledge of equity plans, particularly private equity capital structures, all equity and equity award types, cap tables and dilution. You will partner closely with the Finance, HR, Legal, and Payroll teams to ensure accurate administration and reporting of equity and equity compensation in order to deliver a seamless experience for equity holders and stakeholders.
Key Responsibilities
- Ensure timely and accurate processing of all equity transactions, including issuance of new equity grants, RSU releases, stock option exercises, and termination forfeitures.
- Identify and mitigate potential risks associated with equity administration.
- Manage the accurate administration of various equity plans, including stock options, RSUs, profits interests, restricted stock, and other equity instruments.
- Maintain accurate records of employee and other holders' equity holdings, including share balances, grants, and transactions.
- Partner with legal, tax and payroll teams to ensure compliance with relevant company policies, tax and legal regulations.
- Provide timely and accurate responses to shareholder and employee equity holder inquiries.
- Work closely with HR, payroll, legal, and finance to ensure seamless administration of equity plans.
- Conduct regular audits of equity grants, terminations, and share balances outstanding within Carta or similar platform.
- Serve as the "go-to" subject matter expert for employees, executives, and candidates on equity tier 1 and tier 2 questions, statements, and plan mechanics.
- Provide clear and timely support for employee transactions, including option exercises, tax implications, and grant education.
- Develop and maintain educational materials for new hire onboarding and executive grant briefings.
- Monitor equity program usage against plan limits; manage equity pool and dilution reporting.
- Implement equity administration process improvements, including automation, controls, and cross-training documentation.
