We are seeking a highly organized and detail-oriented Paralegal to support the legal operations of a dynamic and growing Real Estate Investment Trust (REIT). The Paralegal will assist with legal matters related to commercial real estate transactions, corporate governance, SEC and REIT compliance, leasing, due diligence, and entity management. This position plays a key role in ensuring the REIT’s operations are legally sound and effectively documented.
Key Responsibilities
Transaction Support :
Assist with acquisitions, dispositions, financings, and joint ventures, including preparation and review of transaction documents, closing checklists, and coordination of closings.
Manage document flow, signature packets, and post-closing binders.
Conduct due diligence reviews of property documents, leases, title commitments, and surveys.
Corporate Governance :
Prepare and maintain corporate documents, including board resolutions, consents, minutes, and officer certifications.
Manage entity formation, registration, annual filings, and corporate recordkeeping for REIT and affiliated entities.
Leasing & Property Management :
Assist in drafting and reviewing commercial lease agreements, amendments, estoppels, and SNDA agreements.
Track lease terms, renewals, and compliance deadlines.
Compliance & Regulatory :
Support legal team in maintaining REIT compliance with SEC, NYSE / NASDAQ, and IRS rules.
Help prepare or coordinate REIT-related disclosures and filings (10-K, 10-Q, 8-K, etc.).
Document Management & Legal Research :
Maintain and organize legal files (electronic and hard copy).
Conduct legal research and summarize statutes, regulations, and case law as needed.
Cross-Functional Coordination :
Liaise with internal departments (acquisitions, finance, asset management, investor relations).
Coordinate with outside counsel, title companies, and brokers.
Qualifications
Bachelor’s degree preferred; Paralegal certificate from an ABA-accredited program strongly preferred.
2–7 years of experience as a paralegal, preferably in real estate or corporate law, with specific REIT or commercial real estate exposure.
Familiarity with real estate documents (purchase and sale agreements, deeds, leases, title, etc.).
Knowledge of REIT structures and SEC compliance a plus.
Proficiency with Microsoft Office Suite; experience with legal entity management software (e.g., hCue, GEMS) a plus.
Exceptional organizational skills and attention to detail.
Strong communication skills and ability to manage multiple priorities under deadlines.
