Job description

Join a leading construction company as a Senior Corporate and Securities Counsel, reporting directly to the General Counsel. This high-impact role partners across departments to lead compliance, support public company reporting, manage corporate governance, and advise on executive compensation, finance transactions, and more.

Key Responsibilities :

  • Lead compliance initiatives and corporate governance matters
  • Prepare and review SEC filings and investor communications
  • Support board and executive leadership on governance and compensation
  • Draft and negotiate contracts and transactional documents
  • Collaborate with HR on equity and benefit plans
  • Supervise paralegals and manage legal workflows

What We're Looking For :

  • 5+ years of corporate and securities law experience
  • Strong contract drafting and negotiation skills
  • Proven ability to manage multiple priorities and stakeholders
  • Juris Doctorate and bar admission in at least one U.S. state
  • Must be based in or willing to relocate to the Nashville area (hybrid work model)
