VP, Assistant General Counsel - M&A / Corporate

Job Description

Essential Job Functions :

• Lead legal support for M&A transactions, including due diligence, drafting and negotiating agreements, and post-closing integration.
• Provide legal support for SEC reporting, including proxy statements, 10-K, 10-Q, 8-K, and Forms 3 / 4 / 5.
• Advise on securities law and corporate governance matters, staying ahead of evolving legal requirements.
• Manage corporate governance and entity management activities.
• Support board and committee operations, including preparation of materials and annual stockholder meeting.
• Advise on investor relations matters, including earnings announcements, press releases, and investor communications.
• Draft and negotiate other commercial contracts, including a variety of customer and supplier agreements.
• Develop and maintain strong client relationships and an understanding of Hub Group's businesses.

Qualifications & Experiences :

Salary Range : $200,000 - $250,000 / year base salary plus eligibility for additional bonus, equity, and 401K programs
