Pay : $70,000.00 - $90,000.00 per year
Note : This position offers a hybrid work arrangement. Employees are expected to work on-site at our clients Stamford, CT office several days per week, with the option to telecommute on other days.
Note : The qualified candidate for this position must have a minimum of 5+ years of corporate transactional paralegal experience, including mergers and acquisitions and general corporate law support.

Job Description
- Provide comprehensive paralegal support for corporate transactional matters, including M&A, venture capital financings, and general corporate governance.
- Draft and prepare formation, qualification, merger, and dissolution documents for corporations, LLCs, and partnerships.
- Manage multiple transactional closings and maintain closing checklists, signature pages, and executed document sets.
- Prepare and maintain capitalization tables, stock ledgers, board minutes, resolutions, and other entity records.
- Conduct due diligence, perform lien and IP searches, and prepare UCC filings.
- Assist with securities filings, including Form D and related documentation.
- Coordinate filings with the USPTO, Secretary of State, and other agencies.
- Maintain corporate records and support attorneys with day-to-day transactional needs.
- Utilize document management systems (iManage, Kira, Litera, Closing Folders).
- Support additional special projects as needed.
Qualifications
Bachelors degree and / or paralegal certificate from an ABA-approved program.5+ years of relevant corporate transactional experience.Demonstrated experience with mergers and acquisitions, venture financings, and general corporate governance.Strong command of Microsoft Office Suite and document management software.Exceptional organizational and communication skills with strong attention to detail.Ability to manage multiple deadlines and work efficiently under pressure.Flexible schedule with willingness to work overtime when required.Why This Is a Great Opportunity
