Corporate / Real Estate Senior Paralegal

The Corporate and Real Estate Practice Groups of Arnold & Porter have a Senior Paralegal opening that may be located in the Denver, San Francisco, or Seattle office. The Senior Paralegal supports the Corporate and Real Estate Practice Groups under the direct supervision of attorneys and specialists.

Responsibilities

• Assisting transaction attorneys in the corporate, finance and real estate groups with all phases of a transaction (due diligence, document drafting, closings, and post-closings).
• Prepare closing sets.
• Preparing, coordinating, and filing formation documents (organizational certificates, by-laws, organizational minutes, etc.) amendments, operating agreements, annual reports, qualification, and dissolution documents.
• Preparing stock certificates and notes.
• Completing IRS Forms SS-4's and applying for and obtaining EINs.
• Forming entities, ordering good standing and other similar certificates, engaging independent directors and agents for service of process.
• Coordinating and completing annual reports and state filings with local jurisdictions.
• Drafting annual resolutions, transactional consents, notices, authority documents, and maintaining comprehensive lists reflecting the same.
• Drafting, organizing, and preparing for execution officer's and incumbency certificates and additional governance documents.
• Preparation and filing of UCC-1 Financing Statements and UCC-3 Amendments, Continuations and Terminations.
• Maintaining an electronic database containing key information for each entity, including ownership percentages, management, property / asset details, contacts, etc.
• Ordering, reviewing and analyzing federal, state and local UCC / lien and litigation searches.
• Researching real property and obtaining summary reports and copies of vesting deeds through Real Quest or title company portals.
• Preparing and recording real property transfer deeds, deeds of trust and other related real estate documents.
• Proficiency with placing out-of-state real property transfer documents orders in the U.S. Deeds portal.
• Ordering and reviewing title reports and surveys.
• Preparing BEA filings in connection with real estate transactions.
• Reviewing commercial contracts and real estate leases, and preparing abstracts of same.
• Handling audit letter requests, including due diligence, drafting audit letter responses and distributions.
• Maintaining client files and minute books.
• Interacting with service companies regarding the filing of organizational certificates, qualification documents, dissolution and withdrawal documents (and ordering certified copies of the same when necessary), annual reports, UCC forms and searches and preparing status charts describing results.
• Cataloging and maintaining investor subscription booklets and electronic files.
• Preparing structural diagrams, using MS PowerPoint, manifesting ownership details, and deal logistics from transaction documents.
• Tracking and processing vendor invoices.
• Providing detailed records of client disbursement charges and time entries.
• Notary assistance from time to time.

The anticipated base salary for this position is $98,852 to $130,000. The actual base salary offered will depend on a variety of factors, including without limitation, the qualifications of the individual applicant for the position, years of relevant experience, level of education attained, certifications or other professional licenses held, and if applicable, the location in which the applicant lives and / or from which they will be performing the job.

As a nonexempt position, this position is eligible for overtime.

The firm may provide a discretionary bonus annually.
