Are you a highly skilled Corporate Paralegal with deep experience supporting venture-backed companies, corporate transactions, and securities compliance? Trustpoint.One has joined forces with a leading AmLaw firm in their search for an exceptional professional to join a busy, thriving and growing team. The Corporate Paralegal will play a critical role in managing complex corporate matters from formation through financing, governance, and ongoing compliance. Location: Austin, Texas. Role is Office-Based (Must Be Commutable) Core Hours: Monday – Friday, 9:00 AM – 5:30 PM; Availability for paid overtime is a must ! Education: Bachelor's Degree Preferred Experience: 10+ Years of Corporate Paralegal Experience, ideally from a leading law firm What You'll Do As a Senior Corporate Paralegal, you'll work closely with attorneys and clients while independently managing sophisticated corporate and securities matters, including: Maintaining capitalization tables, stock ledgers, and option records Managing corporate records and governance documentation Preparing and filing Section 16 reports and supporting SEC compliance initiatives Utilizing platforms such as Carta, Pulley, SEC EDGAR Next, HighQ, Box, DocuSign, and SimplyAgree Preparing, organizing, and filing corporate transaction documents, including: Articles of Incorporation and Organization Amendments and state qualifications Board and shareholder consents Merger and acquisition documents Closing books and electronic closing sets Annual reports and corporate filings Supporting entity formations, including Corporations, LLCs, and 501(c)(3) organizations Preparing transaction-related documents and closing deliverables Managing data rooms, matter files, and signature workflows Conducting Blue Sky research and filings What Our Client is Looking For 10+ years of corporate paralegal experience with significant substantive responsibility Expertise equivalent to or exceeding that of a junior associate in corporate practice Strong understanding of corporate governance, securities filings, and transactional support Hands-on experience with Carta, Pulley, SEC EDGAR Next, HighQ, Box, DocuSign, and SimplyAgree Exceptional organizational skills, attention to detail, and ability to manage multiple priorities Why Join Our Client?
