We are working with a large Company that is seeking a very visible, high-level, Board-facing position within the legal department. The attorney will lead all corporate governance and securities matters for the organization. This senior legal leader will serve as the primary attorney for corporate and securities and provide direct counsel to executive leadership and the Board of Directors. The ideal candidate brings public‑company expertise, strong business acumen, and the ability to operate in a fast‑moving, global environment. This role requires exceptional judgment, a proactive mindset, and the ability to influence across functions while managing outside counsel and departmental budgets. Key Responsibilities Oversee all securities law matters, including SEC reporting, disclosure controls, and public‑company compliance. Manage the preparation, review, and filing of Forms 10‑K, 10‑Q, 8‑K, proxy materials, and other SEC filings. Provide counsel on corporate finance transactions, including debt, equity, and secondary offerings. Lead corporate and subsidiary governance, including Board and committee support, corporate records, resolutions, and governance frameworks. Partner with senior leadership to ensure compliance with stock exchange rules, corporate governance requirements, and evolving regulatory expectations. Manage the timeline and preparation for the annual stockholder meeting. Provide support for corporate transactions, including deal structure and LOI terms, planning and assisting in due diligence, drafting and negotiating deal agreements, and actively managing deal process and execution. Review press releases, earnings releases, and investor presentations. Prepare corporate documents, such as minutes, consents, resolutions, certificates, charters, and policies. Support and advise functional areas including Compliance, IT, Corporate Finance, Treasury, Risk Management, Investor Relations, and other corporate departments. Manage outside counsel relationships and legal budgets to ensure efficiency and high‑quality legal support. Qualifications J.D. from an accredited U.S. law school. Experience 8+ years of legal experience, including significant practice in corporate governance, SEC reporting and securities law. Demonstrated experience advising public‑company boards and managing all aspects of SEC disclosures. Skills & Attributes Exceptional communication, leadership, and organizational skills.
