Senior Consultant, Mergers & Acquisitions (Merger & Carve-out)
West Monroe is seeking a Senior Consultant with expertise in M&A and a strong passion for technology to join our rapidly growing Merger & Carveout Services (MCS) team. The role supports Private Equity and corporate clients across all industries in mergers, divestitures, and carve-out transactions with an IT lens. Areas of focus include business applications, infrastructure, cybersecurity, and IT organization.
Responsibilities
Project Delivery
- Develop and analyze financial models to evaluate transaction impact, including bottom-up and top-down IT cost analysis (e.g., cost synergies, TSA replacement) across the P / L, evaluating cost pools / vendors and developing one-time cost estimates.
- Manage transaction one-time cost and business run‑rate cost models, providing executive‑level readouts on all cost drivers.
- Analyze key business applications (e.g., ERP, CRM, HRIS) against business / industry requirements and complete application dispositioning with input from application leaders.
- Lead technology workstreams (business applications, infrastructure, cybersecurity, etc.) in post‑close merger or carve‑out engagements.
- Support scoping, building, and pricing Transition Service Agreements (TSAs).
- Determine and document entanglements among people, process, technology, assets, and contracts between NewCo and Parent (carve‑out) and develop synergy models (merger).
- Configure and maintain program management workspaces (Smartsheet), manage workplans, risks / issues / decisions logs, and create custom dashboards / reports / workflows.
- Support transformation IT projects from a project‑management perspective (e.g., Day 1 readiness planning, post‑close technology execution management).
- Identify and manage cross‑functional dependencies across finance, legal, HR, and other key areas to ensure cohesive transaction execution.
- Lead client‑facing meetings, manage project timelines and deliverables, and oversee budget adherence.
- Present complex findings to C‑level stakeholders with clarity and executive presence.
- Deliver high‑quality work products autonomously and collaborate with other workstreams / teams to ensure consistency and quality of outputs.
Other Responsibilities
Develop methodologies and frameworks for supporting projects across due diligence and post‑close engagements.Drive merger / carve‑out specific initiatives, including the development of tools and accelerators (e.g., workplans, IT reference architectures, industry value chains, financial modeling).Mentor and coach junior team members, actively supporting onboarding, training, and career development.Act as a career advisor or coach to new hires, fostering growth and alignment with firm values.Support opportunities by creating tailored proposals and statements of work.Participate in M&A industry events and build professional networks within the community.Qualifications
4+ years of experience in team‑based, client‑facing management or technology consulting, or IT M&A, preferably in a corporate strategic or private‑equity context.Experience in specific industries (e.g., software, healthcare, consumer & industrial products, insurance) preferred but not mandatory.Proven expertise in M&A‑centric roles, particularly with private‑equity investors, including SaaS or software company mergers / integrations and carve‑outs / divestitures.Strong analytical, problem‑solving, and quality assurance skills and data‑analysis tools (e.g., PowerBI, Alteryx, Tableau).Excellent organizational, verbal, and written communication skills, with the ability to engage effectively with C‑level executives.In‑depth knowledge of project‑planning methodologies, software development life cycles, and financial modeling.Bachelor's degree preferred, or equivalent required; professional certifications (e.g., LeanIX Practitioner, Smartsheet, PMP) are a plus.Ability to travel up to 50%, depending on client and project requirement; travel is typically short‑term (2–3 days on‑site per due diligence project, 50–75% during post‑close carve‑out execution).Authorization to work permanently in the United States without sponsorship.A commitment to inclusion, diversity, and openness to new ideas and perspectives.Compensation & Benefits
Based on pay‑transparency guidelines, the salary range for this role varies based on proximity to a West Monroe office. Individual salaries are determined by geography, experience, skills, education, and internal equity.
Employees (and their families) are covered by medical, dental, vision, and basic life insurance. Employees can enroll in the company’s 401(k) plan, purchase shares from an employee‑stock‑ownership program, and are eligible for annual bonuses. Employees receive unlimited flexible time off and ten paid holidays throughout the calendar year. Eligibility for ten weeks of paid parental leave is also available upon hire date.
Salary ranges by location :
Seattle or Washington, D.C. : $124,100—$146,000 USD
Los Angeles : $130,000—$152,900 USD
New York City or San Francisco : $135,900—$159,900 USD
Other location : $118,200—$139,000 USD
