The Board Office Coordinator functionally accountable to the Office of the CEO - plays a key role in supporting the organization's governance functions. This role provides administrative and coordination support for a portion of Memorial Hermann's Boards & Committees. Reporting to the Chief of Staff, and in collaboration with the Chief Legal Officer / Corporate Secretary, executive team, and administrative colleagues, the Board Office Coordinator helps ensure effective preparation, communication, and execution of board-related responsibilities. This role requires professionalism, discretion, strong attention to detail, and a collaborative, team-oriented approach.
Job Description
Minimum Qualifications :
Education : Associate degree required OR a minimum of two (2) years of professional paralegal or legal assistant experience. Bachelor's degree preferred.
Licenses / Certifications : Certified Paralegal Credential preferred
Experience / Knowledge / Skills :
- At least ten (10) years of administrative support experience, with increasing levels of responsibility, including a minimum of five (5) years supporting senior executives or C-suite leaders.
- Minimum of three (3) years of project coordination or project management experience.
- At least four (4) years of experience supporting corporate governing boards including all of the following : properly noticing board and committee meetings, preparing board minutes, supporting Board leaders in making committee assignments in compliance with bylaws requirements, assessing quorum compliance at board and committee meetings, supporting drafting and amendment of committee charters, preparing corporate filings with the Secretary of State, preparing board and committee packets, assisting in formatting of board and committee presentations.
- High proficiency in Microsoft Office Suite and experience designing and editing presentation materials. Familiarity with Board Management Systems (e.g., Directors Desk, OnBoard, BoardVantage) is preferred.
- Demonstrated ability to handle confidential and sensitive information with professionalism and discretion.
- Strong verbal and written communication skills; able to communicate clearly and professionally.
- Strong interpersonal and team collaboration skills.
- Excellent judgment, organizational skills, and a meticulous attention to detail.
- Ability to manage multiple priorities while maintaining a strong commitment to supporting the collective efforts of the team.
Principal Accountabilities :
Responsible for all Corporation records (Articles, Bylaws and Minutes) for 11 corporations and 9 board committees.Keeps abreast of the Bylaws and drafts resolutions as necessary.The secretary is responsible for ensuring that accurate and sufficient documentation exists to meet organizational and legal requirements.Schedules all board and committee meetings; notifies board / committee members of meetings by written notice; and follows-up with phone calls to ascertain attendance.Works with President to determine each board agenda; interfaces with management for agenda information; gathers data and materials to be mailed to board members and / or presented at meetings; prepares board / committee packets for each meeting.Attends and records minutes for all board and committee meetings. Prepares Summary of Actions for all meetings; maintains board / committee related files.Monitors and manages processes pertaining to governance and monitors and maintains key corporate documents and records.Maintains biographical data on each board / committee member and works with Foundation on records for board members; maintains records for all board / committee members showing years of service on various boards / committees (151 total).Prepares and updates annual corporate organization book as well as annual pictorial directory of all board / committee members and management.Schedules and coordinates board related travel and other such educational meetings.Works with President to plan annual board retreat for board members and guests (speakers, rooms and menu selection, meeting rooms, special activities and entertainment).Assists President in preparations for three annual meetings in October for all board / committee members.Notifies board / committee members of meeting date, gathers data / information to be presented, mails necessary information to various boards prior to meeting, and takes minutes for meetings held this day.Liaison with board members for medical needs and keeps President informed of board members requests / needs / care.Performs special projects and assignments related to board activities.Provides direction and mentoring to Assistant, Board Secretary and other staff.Ensures safe care to patients, staff and visitors; adheres to all Memorial Hermann policies, procedures, and standards within budgetary specifications including time management, supply management, productivity and quality of service.Promotes individual professional growth and development by meeting requirements for mandatory / continuing education and skills competency; supports department-based goals which contribute to the success of the organization; serves as preceptor, mentor and resource to less experienced staff.Demonstrates commitment to caring for every member of our community by creating compassionate and personalized experiences.
