GOVERNMENT CONTRACTS – MID / SENIOR-LEVEL ASSOCIATE ATTORNEY

Location : Washington, DC

Our client, a premier AmLaw 25 global law firm , is seeking a skilled Mid-to- Senior-Level Associate Attorney to join its Government Contracts and Grants subspecialty within the Global Trade practice . This is an outstanding opportunity for attorneys with deep experience in government contracting and regulatory compliance who want to play a key role in advising sophisticated clients on high-stakes transactions, acquisitions, and investments involving government contractors and grantees.

Candidate Profile

  • JD from a top-tier law school with an excellent academic record
  • Active Bar Admission in the District of Columbia, in good standing, or eligibility to obtain admission promptly
  • 4–7 years of substantive experience in government contracts and related regulatory matters
  • Demonstrated experience conducting due diligence for mergers and acquisitions (M&A) transactions, investments , and corporate reorganizations involving government contractors
  • Strong background in reviewing and analyzing contracts , preparing disclosure schedules , and advising on government compliance and reporting requirements
  • Ability to assess and advise on corporate compliance programs tailored to state and federal government end users
  • Prior experience at an AmLaw 100 or similarly sophisticated firm required
  • Exceptional writing, analytical, and communication skills, with a detail-oriented and proactive approach to managing complex matters

Key Responsibilities

  • Conduct comprehensive due diligence in connection with M&A , investments , and divestitures involving government contractors
  • Analyze and interpret complex federal and state contracts , including terms, clauses, and compliance obligations
  • Prepare and review disclosure schedules and assist in developing strategies for addressing identified risks
  • Advise clients on corporate compliance programs , internal controls , and risk mitigation strategies tailored to the requirements of government end users
  • Support corporate and transactional teams with strategic guidance on government contracting issues , including procurement regulations and audit considerations
  • Collaborate closely with partners and clients to ensure compliance with evolving government contracting laws and policies

    Compensation & Benefits

  • Competitive Compensation : Annual base salary is expected to range from $310,000 - $420,000 , depending on experience, qualifications, and market factors
