Responsibilities

• Shape legal strategy for executive / director compensation, equity programs, and disclosures (proxy / CD&A, 8-Ks, Section 16)
• Advise on insider trading policies, shareholder proposals, and ERISA-related issues
• Prepare board materials and serve as Assistant Secretary to the Compensation Committee
• Lead subsidiary governance and contribute to broader corporate governance initiatives
• Mentor and manage legal team members
