As a Permanent Corporate Secretary in the Legal industry, you will play a pivotal role in our organization's legal operations. Responsibilities :
1. Oversee and manage all board and committee meeting logistics, attend and record minutes of all board and committee meetings; facilitate board communications.
2. Advise the board of directors on governance matters.
3. Manage all company corporate records and related filings.
4. Ensure compliance with statutory and regulatory requirements.
5. Coordinate the annual report and proxy statement process.
6. Provide legal support in M&A transactions, including due diligence, drafting, and negotiation of agreements.
7. Draft and review legal documents, contracts, and correspondence ensuring the legality of the company's business practices and compliance with applicable laws and regulations.
8. Develop and implement corporate governance policies and procedures.
9. Work closely with the executive team and external legal counsel on various corporate and legal projects.
10. Assist in the preparation of public announcements and press releases.
Qualifications :
1. Bachelor's degree in Law, Business Administration, or related field. A Master’s degree or professional certifications will be an added advantage.
2. Minimum of 10 years of experience in a legal or corporate setting, with at least 5 years as a Corporate Secretary or similar role.
3. Expertise in legal writing, M&A, administrative tasks, and filing.
4. In-depth knowledge of corporate governance principles and managerial best practices.
5. Proficiency in legal research and ability to handle large amounts of data.
6. An analytical mind with problem-solving abilities.
7. Excellent communication, negotiation, and interpersonal skills.
8. High ethical standards and professional integrity.
9. Ability to work under pressure and meet deadlines.
10. Proficient in Microsoft Office Suite and corporate management software.
