Overview
Our client is seeking a skilled Mid-Level Associate – Capital Markets to join its Corporate & Securities Practice Group in New York. This is an exciting opportunity to work on high-profile capital markets transactions, including IPOs, PIPEs, and public offerings, within a prestigious AmLaw law firm. The ideal candidate will have at least 2 years of experience handling public and private debt and equity offerings, Exchange Act reporting, and corporate governance matters.

Key Responsibilities
Advise public and private companies on capital-raising transactions including debt and equity offeringsCounsel clients on SEC and stock exchange compliance, corporate governance, and public company disclosure obligationsDraft and negotiate securities offering documents, prospectuses, and corporate disclosuresAssist with Exchange Act reporting requirements including 10-Ks, 10-Qs, 8-Ks, and proxy statementsRepresent issuers and underwriters in IPOs and follow-on public offeringsWork on PIPEs, M&A transactions, and SEC reporting mattersEnsure compliance with federal and state securities laws and stock exchange regulationsQualifications & Experience :
2+ years of experience in capital markets, securities, and corporate governanceLarge law firm experience working on public and private securities transactionsStrong knowledge of SEC regulations, Exchange Act reporting, and corporate governance mattersExcellent drafting, negotiation, and analytical skillsAbility to manage multiple complex transactions in a fast-paced environmentAdmission to the New York Bar (required)Take the Next Step
