JOB NUMBER : Spara33 REQUIRED EXPERIENCE : 4+ Years of Paralegal experience ideally with Securities law and corporate governance JOB DESCRIPTION About the Role We're seeking a highly organized and detail-oriented Senior Paralegal to join our Legal team.
In this role, you will play a critical part in supporting our corporate governance, compliance, and regulatory processes.
You'll collaborate closely with attorneys, executives, and cross-functional teams to ensure our legal operations run smoothly and with the highest level of integrity.
Key ResponsibilitiesBoard & Committee Support : Prepare materials for Board, Committee, and Annual General Meetings.
Manage meeting logistics and follow-up actions with precision and discretion.
Policy Compliance : Assist with the implementation and monitoring of the company's securities trading policies and other compliance initiatives.
Regulatory Filings : Support the preparation and submission of NYSE and SEC filings, ensuring all submissions are accurate and timely.
Subsidiary Management : Handle the formation, registration, and maintenance of records for subsidiaries and branches.
Draft annual reports, resolutions, consents, and powers of attorney as required.
Documentation & Recordkeeping : Maintain organized corporate records and databases, ensuring all documents meet compliance and audit standards.
Qualifications & SkillsTechnical Proficiency : Microsoft Office Suite, SharePoint, Teams, Adobe Acrobat Pro, and CTAdvantage / hCue.
Organization & Execution : Strong project management skills with the ability to manage multiple priorities in a fast-paced environment.
Communication : Excellent written and verbal communication skills with a collaborative, team-oriented mindset.
Confidentiality : Proven ability to handle highly sensitive and confidential information with discretion and professionalism.
Preferred Experience5+ years of corporate paralegal experience, ideally within a publicly traded company or law firm.
Familiarity with securities law, corporate governance best practices, and entity management systems.
