Responsibilities

• Under the direction of the President / CEO, the General Counsel will provide support and advice on legal matters related to the general business operations.
• Assist in the planning and strategic development process by providing legal and business advice relating to the operation of the Affiliate.
• Ensure compliance with general health care law, health insurance law, regulatory and compliance statutes, and corporate and tax law requirements.
• Guarantee the Affiliate conducts its business in compliance with all applicable laws, including federal and state campaign finance laws, lobbying disclosure requirements, gift and ethics rules, and tax laws governing exempt organizations such as 501(c)(3), 501(c)(4), and 527 entities.
• Manage all litigation filed against or on behalf of the Affiliate and work with PPFA Litigation & Law and / or outside counsel to draft documents, answer discovery requests, prepare witnesses, and attend depositions and trials.
• Attend meetings of the Board of Directors and committees to provide reports on legal activities and advice on board procedures, bylaws, and other matters.
• Assist the Affiliate with PPFA Accreditation processes and during any regulatory audit or investigation.
• Draft, negotiate, and oversee contracts, including professional service agreements and affiliation agreements.
• Draft and revise Affiliate policies, regulations, contracts, bylaws, briefs, and legal responses as needed.
• Advise on governance, compliance, corporate and real estate transactions, and organizational litigation.
• Perform other tasks as needed.
