Overview

Position :

Commercial Unit Attorney, Lease Assistance, OGC (Level 3) – 25666

Under the direction of the Deputy Counsel of the Legal Services Commercial Unit and in collaboration with the Senior Executive Director of Charter Operations, the Commercial Unit Attorney, Lease Assistance, exercises independent judgment pertaining to the negotiation, drafting, and / or review of charter school leases and other important legal contracts and agreements having significant financial, procedural, or policy consequences. The attorney reviews and determines vendor compliance in contractual matters. Performs related work.

Key Relationships :

Office of Nonpublic and Charter Schools, New York City Law Department, Division of Information and Instructional Technology, Office of District Planning, Office of Financial Operations, Office of Capital Budgets and Grants, Office of Financial Strategies, vendors, and other internal and external offices as assigned.

Responsibilities

Supports the Office of Nonpublic and Charter Schools with review of charter school leases and making rental assistance determinations, serves as liaison for charter school lease escalations, and performs related work.

Ensures that all lease agreements and related activities comply with the New York State Charter Schools Act, current federal, state, and local landlord-tenant laws, regulations, and other real estate rules.

Identifies and mitigates potential legal risks associated with lease agreements.

Advises on and resolves conflicts or disputes regarding lease terms.

Manages landlord-tenant litigation, including eviction proceedings, breach of lease claims, and disputes over required payments.

Oversees and / or collaborates with outside counsel and / or New York City Law Department for complex legal matters or litigation to ensure alignment with internal goals and legal strategies.

Advises on landlord-tenant law questions.

Negotiates and drafts complex contracts and agreements for a wide range of goods, services, and equipment.

Provides legal advice on the legal sufficiency of procurements and assists in providing legal advice in bid protests.

Assists in the development of procurement policies and procedures for the Department.

Advises on basic copyright and intellectual property questions.

Serves as liaison in commercial litigation cases.

Serves as a liaison and provides support to the Division of Early Childhood Education’s UPK on contract and commercial issues.

Reviews RFPs, proposals, and contracts, and recommends solutions to mitigate project risks.

Drafts, reviews, and negotiates multi-year standard (form) and non-standard contracts, including software licenses, customer proposals (RFPs), and professional service agreements.

Advises the Division of School Facilities of legal issues involving school buildings.

Drafts rules and regulations for New York City Public Schools (NYCPS).

Reviews contracts to determine vendor compliance with terms and conditions.

Negotiates with vendors regarding resolution of complex compliance matters.

Recommends resolution of complex contract compliance matters, including corrective actions or termination.

Analyzes and reports on the effects of City, State, and Federal legislation.

Qualifications

Minimum

Admission to the New York State Bar

AND

three (3) years of progressively responsible United States legal experience subsequent to admission to any state bar. All candidates must be able to demonstrate commercial or transactional legal experience. Incumbents must remain members of the New York State Bar in good standing for the duration of this employment.

Preferred

Five (5) years’ experience negotiating and drafting real property leases and / or contracts.

Knowledge of public procurement.

Ability to rapidly understand provisions of applicable law and regulations.

Ability to write clearly and concisely.

Efficient research skills.

Salary

$106,607 - $111,107

(Internal candidates who are selected for this position and who currently hold comparable or less senior positions within the DOE will not earn less than their current salary.)
