Job Purpose :
Our client is seeking an experienced Paralegal to join their team. This position will primarily support the preparation, review, and management of contractual documents with energy partners and handle all corporate legal matters.
This role will work directly with Corporate Counsel to develop, negotiate, and implement various transactional documents and agreements on behalf of diverse clients within a growing international specialty utility organization.
It offers exposure to commercial and corporate transactions and the opportunity to work independently and with other attorneys, business leaders, and the executive team.
Duties and Responsibilities :
- Review and draft a wide variety of contracts, focusing on the Energy Market and binding agreements.
- Handle agreements such as Power Purchase Agreements (PPA), Bond Issuance (Private Placement Memorandum), OEM Warranty / Regulatory, EPC AIA Contract, Due Diligence, Corporate Governance, Tax Structure (US, EU, Canada), Vendor Contracts, and Employment Law.
- Support corporate counsel in complex transactions, including M&A, SEC Securities, Bonds, and public company matters.
- Work closely with legal and business teams and collaborate with various departments to achieve strategic objectives.
- Conduct legal and factual research, data analysis, and reporting as requested.
- Ensure legal and operational compliance of the company’s market partners.
- Utilize contract management software to manage agreements, amendments, legal and compliance due diligence, and related tasks.
- Identify and assess legal and business risks to the company.
- Collaborate with team members and communicate relevant information to business leaders and executives.
- Maintain the security and confidentiality of documents, data, and potential business transactions.
- Interpret and apply company policies, procedures, and processes.
- Perform other relevant duties as requested by senior attorneys and other executives.
Education and Experience :
- Certification or an Associate Degree in Paralegal Studies. A bachelor’s degree in any field with an industry-recognized paralegal certificate is desirable.
- 5+ years’ experience as a paralegal.
- Excellent legal, analytical, contract review, and negotiating skills.
- Exceptional communication, project management, and organization skills with the ability to develop trust and confidence from colleagues and clients.
- Ability to develop and maintain positive relationships with internal and external business partners.
- Capable of identifying and articulating client / colleague needs and resolving complex problems.
- Ability to work in a fast-paced, constantly changing environment.
- Effective time management and task prioritization skills.
- Knowledge of the Utility / Energy industry.
- Proficient in Microsoft Office tools, including Outlook, Word, and Excel.
- Ability to manage workload with minimal supervision and maintain critical attention to details.
