About the role :
The Associate General Counsel, Corporate Governance and Securities is a highly skilled and detail-oriented attorney to support our public company obligations and corporate governance functions. The ideal candidate will be responsible for ensuring compliance with federal securities laws, advising on corporate governance best practices, managing board and committee matters, and working cross-functionally with teams across the organization.
What you will be doing :
Securities Law Compliance :
- Draft and review periodic filings with the SEC, including Forms 10-K, 10-Q, 8-K, Proxy Statements, and Section 16 filings (Forms 3, 4, 5)
- Ensure compliance with the Securities Exchange Act of 1934 and applicable rules of the NYSE
- Assist in the preparation and review of earnings releases, investor presentations, and related disclosures
- Support Insider Trading Policy administration and blackout period monitoring
- Advise on Regulation FD and public disclosure matters
- Support the management of outside counsel on various matters, as needed
Corporate Governance :
Support board and committee meetings, including preparing materials, resolutions, and meeting minutesSupport maintenance of corporate records and governance documents, including bylaws, committee charters, and corporate policiesProvide guidance on governance matters and emerging best practicesManage legal aspects of annual stockholder meetings and proxy statement developmentGeneral Corporate :
Collaborate with internal stakeholders in Finance, IR, HR, and Compliance to ensure alignment and information flowProvide legal support on executive compensation matters, equity plans, and equity administrationAssist with corporate transactions, including M&A, financing, and strategic partnershipsWhat you bring :
JD. from an accredited law school and active bar membership in good standing in Arizona6+ years of relevant legal experience, including significant securities law and corporate governance experiencePrior experience at a top-tier law firm or in-house legal department at a public company preferred
Deep understanding of U.S. securities laws and corporate governance standardsStrong drafting, analytical, and communication skillsPreferred Attributes
