SUMMARY

Seeking a Senior Counsel to support our EPC, Procurement, Compliance and Sales teams, including  the entire contract cycle for the construction of turnkey solar, solar plus battery energy storage, and standalone battery energy storage projects. These needs include reviewing, drafting, and effectively negotiating module supply agreements, logistics agreements, EPC Agreements, both with developers / owners and subcontractors, service contracts, procurement contracts for equipment and materials, and other construction-related agreements.  This position reports to the Assistant General Counsel, or another management personnel that the CEO of the Company may designate. This position is expected to travel up to 25% of the time.

ESSENTIAL JOB FUNCTION & RESPONSIBILITIES

• Assist the Assistant General Counsel and General Counsel in handling all aspects and issues related to the process of constructing turnkey utility scale solar power and battery energy storage projects; Serve as a legal expert and primary legal counsel for all issues arising during the process of constructing turnkey utility scale solar power and battery energy storage projects;
• Structure, draft, review and effectively negotiate EPC agreements, module supply agreements, logistics agreements, procurement contracts and other solar project related agreements
• Provide general legal support to finance, development, construction and operations teams regarding issues in the construction and operation of renewables projects;
• Advise business teams regarding issues that arise during construction, including change orders, notices required under EPC and procurement agreements (e.g., force majeure), potential disputes, and after construction, assistance with warranty claims;
• Influences cross-functional decision-making by collaborating with internal partners and leading multi-disciplinary teams to guide development of company policies and best practices;
• Provide general legal counsel and strategic guidance to senior management
• Effectively and efficiently engage and manage outside counsel
• Regular attendance, in accordance with company's attendance policy and supervisory assignment, is an essential job duty requirement for this position
• Perform all other duties as assigned by General Counsel or other senior management personnel

SALARY RANGE FOR POSITION

The anticipated starting pay range of this position, which is to be located in Irvine, CA. The pay is only displayed for Irvine, CA is $220,000 - $240,000 base salary per year.

The above-listed salary range is required by the California Pay Transparency Act and may differ depending on the location of those candidates hired nationwide. The salary range shared in the job description is for the listed position and only pertains to the candidate if they work in Irvine, CA. Actual compensation is influenced by a wide array of factors including but not limited to internal pay equity, skill set, education, licenses and certifications, geographic location, essential job duties and requirements, and the necessary experience relative to the job’s minimum qualifications. An additional discretionary bonus structure or incentives may be offered as part of the overall compensation package, in addition to the full range of medical, dental, and / or other benefits, dependent on the level and position offered.
