Deloitte Tax Manager On Global Employer Services, Rewards - M&A Team

Looking for a role where your expertise in executive compensation and benefits can influence high-stakes business decisions? Join Deloitte Tax LLP's Global Employer Services (GES) Rewards M&A team, advising clients through complex transactions and helping them navigate the compensation, benefits, equity, and tax considerations that can shape deal outcomes. You'll lead impactful M&A work, partner with senior stakeholders and deal teams, and translate complex tax requirements into practical solutionswhile expanding your technical expertise, leadership skills, and career within a collaborative, nationally connected practice.

Work you'll do As a Deloitte Tax Manager on the Global Employer Services, Rewards - M&A team, you will be responsible for:

  • Due Diligence Compensation & Benefits
  • Conduct comprehensive tax due diligence on all compensation, benefits, retirement, and equity programs of target companies.
  • Review plan documents, employment agreements, and incentive arrangements for compliance with relevant tax laws (e.g., Section 409A, Section 162(m)), plan qualification, and reporting requirements.
  • Assess risks and opportunities related to deferred compensation, stock options, health and welfare benefits, retirement plans, and global mobility arrangements.
  • Prepare findings and recommendations for deal teams and senior leadership, highlighting areas of tax exposure, compliance gaps, and integration challenges.
  • IRC Section 280G ("Golden Parachute") Analysis
  • Identify and analyze executive employment agreements, change-in-control provisions, and severance arrangements for Section 280G implications.
  • Quantify potential excise tax liabilities and prepare 280G calculations, including safe harbor analyses and mitigation strategies.
  • Advise deal teams on structuring and negotiating executive compensation to minimize 280G-related risks and costs.
  • Support shareholder approval processes and documentation for 280G mitigation.
  • Compliance & Regulatory Oversight
  • Ensure all rewards programs comply with relevant tax laws and regulations, including IRC Section 280G, Section 409A, Section 162(m), FICA, and global tax requirements.
  • Monitor and mitigate risks related to tax reporting, withholding, and plan qualification.
  • Maintain documentation for all tax-related M&A rewards activities.

  • Qualifications Required:

    • Ability to perform job responsibilities within a hybrid work model that requires US Tax professionals to co-locate in person 2 3 days per week
    • Bachelor's degree in business, finance, accounting, human resources, information systems, or a related field
    • 5+ years of experience in executive compensation, including relevant consulting and in-house corporate experience with demonstrated knowledge of tax rules related to compensation and benefits programs (162(m), 280G, 409A, 401(k), etc)
    • Ability to travel up to 20%, on average, based on the work you do and the clients and industries/sectors you serve.
    • Limited immigration sponsorship may be available.
    • One of the following active accreditations:
      • Licensed Certified Public Accountant (CPA) in state of practice/primary office
      • If not CPA eligible: Licensed Attorney Enrolled Agent (EA)
      • Certified Executive Compensation Professional (CECP)
      • Certified Equity Professional (CEP)
      • Global Professional in Human Resources (GPHR)
      • Certified Employee Benefits Specialist (CEBS)
      • Certified Pension Consultant (CPC)
      • Certified Payroll Professional (CPP)
      • Project Management Professional (PMP)

    The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Deloitte, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $110,700 to $226,125. You may also be eligible to participate in a discretionary annual incentive program, subject to the rules governing the program, whereby an award, if any, depends on various factors, including, without limitation, individual and organizational performance.
