Corporate Paralegal

A company is looking for a Corporate / Startup Paralegal (Remote).

Key Responsibilities

Manage entity formation, corporate governance, minute books, and compliance calendars for early-stage companies

Prepare and file state and federal securities filings, including Blue Sky filings

Assist with Series A / B and other venture financing transactions, including document preparation and closing checklists

Required Qualifications

3+ years of corporate / startup or securities paralegal experience (law firm background strongly preferred)

Hands-on experience with startup corporate matters and venture financing (Seed, Series A / B)

Direct experience with Carta onboarding and cap table management

Ability to prepare and file corporate and securities documents independently with zero training

Highly organized and proactive, comfortable working in a fast-paced, remote environment
