Senior Tax Manager / Senior Tax Counsel U.S. Tax
My client aims to provide industrial scale clean battery solutions to reduce global emissions. Listed on the New York Stock Exchange, my client’s mission is to produce green battery cells to accelerate the decarbonization of energy and transportation systems globally.
My client recently relocated its corporate parent company from Luxembourg to the United States. My client has built the commercially-sized Customer Qualification Plant in Mo i Rana, Norway and announced development of industrial scale battery cell production in Coweta County, Georgia, in the United States.
We are looking for a Senior Tax Manager or Senior Tax Counsel US Tax to join our Legal and Compliance Department. The role will involve providing input on various tax matters, ensuring tax compliance at all levels (federal, state, etc.
as well as overseeing the preparation and filing of U.S. federal and state income tax returns and other related tax filings.
The role will also be involved in the preparation of the tax provision for my client in connection with its financial statements, and will be key in setting up and overseeing necessary procedures, both manual and within our ERP system, to ensure compliance.
Your job tasks include
- Provide input and advice on U.S. federal and state tax laws and regulations.
- Collaborate with business development teams to assess tax implications of potential partnerships, joint ventures, and other business development opportunities.
- Coordinate with the finance department and human resources within the organization to assess tax-related aspects of various parts of the organization.
- Coordinate the tax due diligence processes for M&A transactions, identifying and assessing tax-related risks and opportunities.
- Advise on tax-efficient structures for M&A transactions and other business development opportunities.
- Oversee U.S. federal and state income tax compliance, ensuring adherence to relevant laws and regulations.
- Collaborate with internal teams and external advisors on the preparation of U.S. federal and state income tax returns.
- Manage U.S. tax audits, examinations, and potential disputes.
- Oversee the preparation of the tax provision for the organization in connection with its annual financial statements.
- Oversee and coordinate state indirect tax (sales tax, property tax, etc.) matters and U.S. tax information reporting that is required for the organization (Forms 1099, 1042, etc.).
To do these tasks will require
- Strong understanding of U.S. federal and state tax laws and regulations.
- Proven experience in providing tax advice in relation to complex business transactions.
- Knowledge and understanding of various tax credits, including Section 45X and other tax credits covered by the Inflation Reduction Act.
- Ability to work well with cross functional groups.
- Initiative, an ability to work independently, and a desire to play an operational role.
- Willingness to pivot and learn.
We are looking for the following qualifications
- Academic degree in tax law or accounting (e.g., LL.M., J.D., MPA, MBA in finance, or equivalent).
- 5+ years of relevant tax experience with international exposure, ideally with a global law firm, a Big 4 accounting firm or in house at major company.
