US Legal Counsel (Corporate M&A)

Overview

Bending Spoons is seeking a talented Corporate Legal Counsel to support cross-border acquisitions, corporate governance, and financing activities. This role offers an opportunity to learn, have an impact, and advance quickly within a high-performance environment that values ethical standards and shareholder value creation.

Responsibilities

• Support and advise our Accounting, Finance, & Legal team and our Business Acquisitions team on cross-border acquisitions, due diligence, drafting transaction documents, and post-completion integrations.
• Collaborate with our Finance team to manage debt and equity financing and investments, as well as equity plans and instruments.
• Collaborate with outside counsel to assist with corporate reorganizations and governance matters in Italy and abroad.
• Negotiate, draft, and review commercial contracts including confidentiality, service, partnership, and technology agreements.
• Stay up to date on relevant legal and regulatory developments to unlock value and address business needs.
