Position Description
The Corporate Compliance and Ethics Specialist assists the Corporate Compliance and Ethics Manager with the management of the Company's Corporate Compliance Program ("Program"). Includes assisting with intake, analysis, investigation and resolution of corporate compliance and ethics reports for Tucson Electric Power Company and its affiliated companies ("Company"), while maintaining utmost level of confidentiality of sensitive matters. Maintains records, conducts analysis, employs metrics and generates reporting related to various aspects of Program functions. Assists with the development and implementation of Program communications strategy and related employee training programs. Assists in collaborating with other business areas to identify and assess compliance risks and vulnerabilities and develop and implement mitigation plans. Assists with development of risk assessment process and mapping for all areas of compliance throughout the organization and leads and manages risk assessments.

Program Management and Oversight
- Keep abreast of legal developments and industry best practices affecting the Program
- Assist the Corporate Compliance and Ethics Manager with the following :
Evaluating Program effectiveness, including by developing performance metrics
Developing effective employee communications strategy and developing, deploying and implementing continuous improvements to the ProgramDeveloping solutions to identify compliance and ethics trends and implementing proactive risk mitigation plans and initiativesMaintaining Program records, including individual training recordsCreating and promoting the development and implementation of corporate compliance, ethics and conflict of interest training curriculum, including web-based content, and conduct-related trainings including annual Compliance Month training, ad hoc training sessions and annual Compliance Week contentManaging Corporate Compliance Committee meetings, including scheduling, taking minutes, preparing agendas, and coordinating presentationsIdentifying potential areas of compliance vulnerability and risk, participate in risk assessments with the assistance of Internal Audit and Risk Advisory Services, Legal Services and other Company departments and develop / implement risk mitigation plansTracks and communicates on assigned compliance and ethics matters to the Corporate Compliance and Ethics Manager and Company personnel. Calendars and ensures adherence to deadlines.Develops assigned training programs and conducts assigned training on compliance and ethics matters.Compliance and Ethics Investigations
Maintains utmost level of confidentiality of sensitive compliance and ethics-related mattersAssists the Corporate Compliance and Ethics Manager with the following :Coordinating, managing, administering and maintaining the Company compliance helpline and preparing and maintaining accurate records of the prompt and full investigation and resolution of all compliance and ethics matters reported through the helpline and other reporting channels
Conducting and overseeing investigations regarding compliance and ethics-related mattersWhere appropriate, collaborating with other business areas including Human Resources, Internal Audit and Risk Advisory Services and Legal Services to identify, investigate and resolve compliance and ethics mattersInterfacing with and assisting internal and external attorneys, auditors, consultants, and other key stakeholders to coordinate internal and external compliance-related investigations, as applicableAddressing risk factors in conducting investigations and addressing compliance and ethics concernsPolicy Management
Assist the Corporate Compliance and Ethics Manager with the following :Maintaining and updating the Company's compliance and ethics standards and related corporate policies, procedures, guidance, and training materials, and creating new such corporate policies, procedures, guidance and training materials
Managing the periodic evaluation and internal review of other Company policies and procedures to ensure consistency and integration with the Company's valuesGeneral
Develop and maintain effective inter-departmental and interpersonal relationshipsAs directed by the Corporate Compliance and Ethics Manager, attend training and seminars on corporate compliance and ethics-related topicsInterfaces and networks with counterparts at other utility companies and trade associations regarding corporate compliance and ethics mattersAssist with the preparation of compliance materials for the UNS Energy Audit and Risk Committee, senior management, and Fortis Inc., regarding compliance and ethics trends, surveys and resultsAs assigned by the Corporate Compliance and Ethics Manager, may assist members in Legal Services in overseeing adherence to Company compliance programs and providing compliance-related support (examples include the privacy-related compliance programs)Provides updates as requested on status of assigned compliance and ethics matters, whether to direct supervisor or others in the organizationPerform additional duties as assigned by the Corporate Compliance and Ethics ManagerThis position may provide services to affiliates of the Company subject to the UNS Energy Code of Conduct and related policies and proceduresKnowledge, Skills & Abilities

Level I
Minimum Qualifications :
High school diploma or GED, Bachelor's degree in Human Resources, Business Administration, Criminal Justice or other position related field or equivalent combination of education and experience will be considered.A minimum of two years of relevant job experience.Excellent written and verbal communication, critical thinking, analytical, planning, research, and organizational skills.Ability to collect, analyze and interpret compliance and ethics-related data.Proficiency in use of personal computer applications, including internet research, spreadsheet, word processing, and presentation software.High attention to detail in composing, typing, and proofing materials, establishing priorities and meeting deadlines.Strong interpersonal skills with employees across the Company.Ability to manage high levels of stress in dealing with sensitive employee and compliance issues.Required to travel to other locations as needed.Ability to diligently protect and maintain confidentiality of sensitive employee and compliance matters and review objectively.Basic understanding of Company policies and procedures and ability, or demonstrated ability to learn, to interpret and evaluate policies, procedures and rules critically.Ability, or demonstrated ability to learn, to engage in constructive dialogs with Corporate Compliance and Ethics Manager, business units and other members of the utility industry to recommend creative solutions for compliance and ethics issues.Reliable, self-motivated; flexible; adaptable; punctual and process driven.Performs duties with some oversight and guidance; can perform simple drafting for Corporate Compliance and Ethics Manager review.Ability to network and interface with business units and other members of utility industry with some oversight.Preferred Qualifications :

Minimum qualifications of Level IAt least four years' experience in compliance and ethics matters or equivalent experience.In-depth knowledge of compliance and ethics internal investigatory process.Demonstrated ability to lead and work effectively with a team and individually.Performs duties with little oversight and guidance; is accountable for overseeing, managing and advising on assigned compliance and ethics matters.Performs routine drafting of reports or other deliverables; advises on simple, less complex compliance and ethics matters.Oversees portions of more complicated compliance and ethics matters and exercises some independent judgment but still requires some supervisor involvement.Ability to network and interface with business units and other members of utility industry with little oversight.Preferred Qualifications :

Bachelor's degree in human resources, business administration, criminal justice, accounting, or other position-related field.At least six years' experience in compliance and ethics matters or equivalent experience.Exhibits strong ability to lead and take initiative.Performs duties with minimal to no oversight and guidance and may need some guidance for more complex matters.Ability to combine input from a variety of sources, make sound business decisions based on this information, and compile and present the data in a professional format.In-depth knowledge of the Company's policies, rules and regulations.Ability to utilize independent judgment on a regular basis.Able to take initiative to identify and recommend solutions for compliance and ethics issues and processes, within approved boundaries established by the Corporate Compliance and Ethics Manager.Strong compliance and ethics background and ability to work under tight deadlines and with complex, detailed information.Strong knowledge of compliance and ethics internal investigatory process and ability to carry out aspects of internal investigations with minimal to no oversight and may need some guidance for more complex matters.Ability to network and interface independently with business units and other members of utility industry.An expert in their field among compliance and ethics counterparts in similar organizations.Preferred Qualifications :
