Key Responsibilities

• Act as the organization’s chief in-house legal advisor, overseeing all legal matters related to fund launches, corporate structuring, commercial agreements, investor communications, and interactions with regulators.
• Lead and execute the legal workflow for the firm’s separately managed accounts, including the drafting and negotiation of investment management agreements with third-party portfolio managers.
• Oversee the integrity and uniformity of documentation across the firm’s multi-tiered structure, which includes onshore / offshore vehicles, master‑feeder funds, and special purpose companies.
• Partner with the COO, Chief Administrative Officer, Portfolio Manager Talent team, and Operations to review and approve new investment managers, ensuring completion of regulatory reviews, compliance attestations, and entity setup requirements.
• Direct the preparation and maintenance of offering materials, partnership agreements, investor subscription documents, nondisclosure agreements, ISDA and prime brokerage contracts, and other trading or vendor‑related arrangements.
• Lead negotiations for all firm‑wide contracts and engage external counsel selectively for specialized matters.
• Provide strategic guidance to senior leadership on legal risk, regulatory trends, and potential impacts to the business.
• Supervise and support the firm’s compliance framework under its registration as an SEC investment adviser.
