O ur client, a global AmLaw 50 firm , is seeking a talented Associate Attorney to join its innovative Corporate Finance & Capital Markets practice . This is an outstanding opportunity to be part of a leading transactional team known for its deep industry knowledge, global reach, and cutting-edge deal execution across sectors including asset management, private credit, private equity, and life sciences.

Candidate Profile

• JD from a top-tier law school with a strong academic record .
• Active Bar Admission in Massachusetts , in good standing.
• 5+ years of substantive experience in capital markets transactions .
• Experience representing issuers , underwriters , and placement agents in public offerings and private placements of securities .
• Proficiency in securities law compliance , including the Securities Act of 1933 and the Securities Exchange Act of 1934 .
• Familiarity with business development companies (BDCs), registered closed-end funds , and other 1940 Act entities is a plus .
• Demonstrated ability to manage complex transactional workflows from diligence through closing.
• Large law firm experience strongly preferred.
• Strong drafting skills, commercial judgment, and a detail-oriented approach.
