Summary of the position
- Act as general counsel of the company
- Provide legal support to the company
- Manage the legal function of the company
- Protect the companys and the groups interests and manage legal risks.
Main task
Render comprehensive legal support to all departments and subsidiaries of the company.
1. The priority is on legal questions relating to the business operations of the company, including regulatory aspects and criminal and administrative proceedings in relation to the companys operations and to the companys employees in their capacity as officers, representatives or employees of the company.
To the extent time and capacity allows, the support also covers (individual and collective) labor law and legal aspects of tax, customs, finance and social security matters.
Further issues in connection with the companys activities (such as expatriate housing or traffic offences with company cars) may be supported as a courtesy and without an obligation to do so.
- 2. Proactively advise management and business operations of the company in decision-making processes with regard to all relevant legal matters relating to the companys operations and strategy;
- develop and explain legally viable solutions and alternatives; support the implementation of decisions from the legal side;
support all business functions in achieving their respective targets by way of an active and foresighted legal risk management as well as by providing business oriented practical legal advice.
3. Draft, check and negotiate agreements in Japanese / English of the company; analyze and assess draft contracts from potential business partners in Japanese / English;
create, adapt and manage model contracts, general terms and conditions and other legal templates.
4. Devise strategies to avoid and mitigate legal risks for the company; contribute to the risk management systems of the company and of HQ.
5. Handle and coordinate disputes or conflicts of opinion with third parties / customers in Japan; recover and defend claims;
draft and negotiate settlement agreements.
6. Coordinate and support management and relevant departments of the company in case of investigations, audits or inspections by regulatory bodies or authorities.
7. Decide when external counsel needs to be involved; select, manage and supervise external counsel; control external legal cost.
8. Manage the legal department of the company; lead and supervise the team; allocate tasks and responsibilities; enable and empower staff to grow, take on responsibility, be successful and excel.
9. Monitor legal and regulatory developments and inform relevant stakeholders; revise model contracts, general terms and conditions, existing contracts, internal processes and corporate strategies with regard to legal and / or economic changes.
10. Support management and all business functions in understanding and complying with corporate policies and internal regulations, the groups Code of Conduct and ethical and compliance standards.
11. Prepare and provide training on legal matters for management and staff members of the company.
12. Align and cooperate with other IL functions (in particular Compliance) in the company; apply the One IL approach.
13. Coordinate and align any legal matters of relevance with Legal HQ; report to solid line supervisor as required and appropriate.
14. Engage and cooperate in the international Legal and IL network; report to and align with HQ IL functions; apply global mandatory legal standards;
contribute with best practice examples and creative solutions to the group legal network.
Education
Legal degree (LMM or equivalent)
Experience
Professional experience (min 7 years) in the areas of civil, commercial and distribution related Japanese laws, ideally in the industry or a business law firm;
ability to work in teams and intercultural competence
Special Knowledge
- Professional experience and understanding of business and distribution laws in Japan, particularly with regard to automotive industry;
- particular sensitivity on compliance with anti-trust, anti-corruption and data protection requirements for our business in Japan;
- intercultural competence; fluent English and Japanese drafting, negotiation and communication skills; additional language skills welcome;
strong capability of interdisciplinary team work; ability to act independently and reliably under time pressure; business acumen and willingness to take responsibility and decisions.
