Corporate / Transactional Paralegal

We are seeking an experienced Corporate / Transactional Paralegal to support attorneys in a variety of complex corporate and transactional matters. The ideal candidate has strong attention to detail, excellent communication skills, and the ability to manage multiple priorities in a fast-paced environment.

Key Responsibilities :
Assist attorneys with all aspects of corporate and transactional matters under supervision.Prepare and file formation, dissolution, qualification, and withdrawal documents with the Secretary of State and other jurisdictions.Obtain certificates of good standing and certified copies.Prepare and submit EIN applications and UCC filings (including amendments and terminations).Assist in all phases of deal closings—preparation of signature pages, closing binders, and post-closing documentation.Maintain corporate records, minute books, and governance documents.Coordinate execution of documents and communicate with clients and vendors as needed.Prepare closing checklists and assist with document tracking and organization.Knowledge of Westlaw, Lexis, and SEC filings is a plus.Qualifications :
Minimum 5 years of corporate or transactional paralegal / legal assistant experience in a law firm or corporate legal department.Bachelor’s degree and / or Paralegal Certificate preferred.Must be authorized to work in the U.S.Proven ability to provide high-quality service to attorneys and clients.Skills & Attributes :
