Job descriptionJuris Doctorate from an accredited law school Admission to the New York State Bar 3+ Years of Experience in Corporate / Business Law Excellent drafting, organizational, and analytical skills. Strong oral and written communication abilities; able to interact effectively with clients, colleagues, and opposing parties. Substantive knowledge of : Shareholder and operating agreements; Private offerings and subscription documents; Commercial lending and business purchase / sale transactions. Experience with startup clients is a plus. Familiarity with employment law and drafting employment agreements is a plus. Draft, review, and negotiate a broad range of agreements, including operating and shareholder agreements, purchase and sale agreements, loan documents, and private placement materials. Assist with entity formation, structuring, and corporate governance. Support M&A transactions and other business combinations. Prepare legal opinions and related due diligence documentation. Interface directly with clients, opposing counsel, and other professionals to advance transactions and manage legal issues. For this position, you must be currently authorized to work in the United States without the need for sponsorship for a non-immigrant visa.
