Position Summary

We are seeking a qualified Paralegal to join our team in Denver, CO. Responsible for drafting corporate resolutions and minutes, monitoring compliance with filing requirements and submission of filings, preparation of electronic board books, maintaining our entity management database, assisting in maintaing our litigation database, corporate legal activities, and performing research.

Responsibilities

  • Management and maintenance of the litigation database in Legal Tracker. Includes daily review of incoming documents and input into the Legal Tracker system and follow up.
  • Case management from initial intake through completion of trial or settlement, including tracking case progression and deadlines in Legal Tracker.
  • Maintain litigation calendar in Legal Tracker updated daily with weekly printouts for monitoring critical dates. Responsible for electronic billing and legal matter management systems.
  • Review and process all incoming subpoenas, garnishments, requests for production of documents, liens, ensuring that all deadlines are met in responding to requests.
  • Manage legal hold process including implementation of legal holds, custodian terminations, and release of legal holds. Will work closely with IT department / counsel to implement data sweeps and data extraction associated with legal holds.
  • Maintains corporate records and ensures compliance with corporate requirements and governmental authorities.
  • Drafts corporate resolutions / minutes; maintains minute books.
  • Compiles electronic books.
  • Administer entity management software; maintains qualifications and registered / statutory agents nationwide.
  • Perform annual corporate filings.
  • Perform governance compliance activities.
  • Assists in preparing D&O questionnaires as needed.
  • Maintains legal files and updates reference materials.
  • Performs research as required.
  • Performs other duties as assigned.

Requirements

BA or BS degree or equivalent work experience required. Must have Paralegal Certification. 3+ years' prior experience working in a corporate legal environment.

Preferred experience with entity management software. Must be able to work under pressure, multi-task and stay organized.

Must be able to analyze and advise management as issues arise. Must maintain strict confidentiality. Must be detail-oriented and organized.

Must be a team player and able to work well with division personnel, lawyers, title companies and corporate executives.

Compensation

  • Base Salary : $80,000-$100,000
  • FLSA Status : Non-Exempt
  • Bonus Type : Year-end Discretionary
