Senior Corporate Paralegal
LHH Recruiting Solutions is recruiting for an experienced Senior Corporate Paralegal to join a prestigious law firm in Chicago.
The ideal candidate will have a strong background in M&A, private equity, corporate governance, and entity formation. The Senior Corporate Paralegal will play a key role in supporting our legal department in these specialized areas and will be responsible for managing complex transactions and corporate governance matters.
Responsibilities :
- Assist with the preparation and execution of complex M&A transactions, including conducting due diligence, drafting transaction documents, and coordinating closings.
- Manage the formation and maintenance of entities, including corporations, LLCs, and partnerships.
- Support the corporate governance function by preparing board and committee materials, maintaining corporate records, and ensuring compliance with corporate formalities.
- Assist with private equity transactions, including fund formations, capital calls, and distributions.
- Conduct legal research on complex corporate law issues and prepare memoranda and summaries for attorneys.
- Coordinate with external counsel and other third parties in the execution of transactions and projects.
- Mentor and provide guidance to junior paralegals and legal assistants.
- Perform other duties as assigned by the legal team.
Qualifications :
- Bachelor's degree and / or paralegal certificate from an ABA-approved program.
- 5+ years of experience as a corporate paralegal, with a focus on M&A, private equity, corporate governance, and entity formation.
- Strong knowledge of corporate law principles and practices.
- Experience working on complex M&A transactions and private equity deals.
- Proficiency in Microsoft Office Suite and legal research databases.
- Excellent organizational, communication, and interpersonal skills.
- Ability to manage multiple projects and deadlines effectively.
- Attention to detail and commitment to accuracy.
Pay Details : $85,000 to $130,000 based on experience
