What You Will Do :
- Assist with all aspects of corporate creation, maintenance, and governance
- Prepare SEC filings and related documents
- Capitalization Table Management
- Draft officer certificates
- Conduct research on state and federal securities laws, and make relevant Blue Sky filings
- Order and review certificates of good standing and corporate charters
- Due Diligence review of documents and materials
- Assist with various corporate transactions including M&A, venture capital transactions, and securities offerings
- Conduct UCC searches and prepares UCC filings
- Develop and implement best practices and AI use cases where appropriate
