Job descriptionA minimum of 2 years of paralegal experience, preferably in a corporate legal department. Must hold an ABA-approved paralegal degree / certificate or equivalent experience. Strong attention to detail is essential. Proficient in Microsoft Office 365 : Word, Outlook, and Excel. Experience with electronic data rooms and secure file transfer systems is required. Adept in using DocuSign and creating multiple-choice forms. Familiarity with iManage Desksite and large-scale document management systems is preferred. Prior experience in conducting searches and document retrieval is a plus. Being a Notary Public is advantageous.

Duties & Responsibilities
- Assist in forming and maintaining business entities.
- Coordinate procurement of external services and liaise with statutory agent services, including lien searches, state filings, and securities filings.
- Draft routine legal documents and correspondence related to Business and Finance practices.
- Support diligence matters for various business deals.
- Process invoices for client disbursements and firm expenses.
- File necessary documents with governmental agencies, including state authorities and the SEC.
- Manage the DocuSign signature process and compile signature pages.
- Prepare closing binders and files for transactions.
- Familiarity with Secretary of State websites for Illinois and Florida is valuable.
- Maintain and update corporate minute books, ownership certificates, and ledgers.
- Knowledge of or experience with Corporate Transparency Act filings is beneficial.
- Organize and participate in business transactions, preparing and updating closing and other checklists.
- Update and maintain electronic data rooms.
- Conduct lien searches and litigation reports.
